What This Means (2025 FDD)

According to City Publications' 2025 Franchise Disclosure Document, the definition of "Confidential Information" does include research and development. This means that any information related to City Publications' research and development activities is considered confidential and franchisees are obligated to protect it.

This obligation extends to a wide array of information related to the City Publications system. The definition encompasses trade secrets, competitively sensitive information not publicly known, and various aspects of operating a City Publications business. This includes operational methods, sales and marketing techniques, and franchisee lists.

For a prospective City Publications franchisee, this means they must maintain the confidentiality of all information provided by the franchisor, including research and development data. Failure to do so could result in a breach of the franchise agreement and potential legal consequences. Franchisees should carefully review Section 8 of the franchise agreement, as referenced in the definition of confidential information, to fully understand their obligations regarding confidential information.
