What This Means (2025 FDD)
According to City Publications' 2025 Franchise Disclosure Document, the definition of "Confidential Information" explicitly includes population demographic studies. This means that as a franchisee, you are obligated to protect the confidentiality of these studies, as they are considered a key component of City Publications' proprietary System.
This obligation extends to any information or matter that is competitively sensitive and not generally known to the public, relating to the System. This includes, but is not limited to, know-how, methods, techniques, formats, specifications, procedures, systems, policies and standards, business operating systems and techniques, record keeping and reporting methods, accounting systems, sales and marketing methods and training techniques, specifications, processes and procedures for the design, production and distribution of Card Packs, specifications for business forms and stationery, the Manual, ideas, research and development, lists of franchisees, advertisers, and suppliers, mailing data, mailing lists, market and territory analyses, suggested pricing and cost information, and software developed by City Publications.
For a prospective City Publications franchisee, this means understanding the scope of confidential information is crucial. Misuse or unauthorized disclosure of this information could have legal and financial repercussions. Franchisees should ensure they have adequate security measures in place to protect this information and train their employees accordingly. This is a fairly standard clause in franchise agreements, as franchisors need to protect their intellectual property and business methods.
