Franchisee and the proposed transferee will have demonstrated to Franchisor's reasonable satisfaction that the proposed transferee, and if applicable, the person designated to be the transferee's Store Manager, and the directors, officers, and principal shareholders and partners of the transferee, as the case may be, meet all of Franchisor's then-current qualifications for new franchisees, possess the requisite business experience, including, without limitation, management and sales abilities, and possess the financial resources to fulfill all obligations under the franchise agreement to be executed by the transferee and Franchisor with respect to the Store.

What This Means (2025 FDD)
According to Circle K's 2025 Franchise Disclosure Document, a franchisee seeking to transfer their franchise must ensure the proposed transferee meets specific qualifications. The proposed transferee, along with their designated Store Manager (if applicable), and the directors, officers, principal shareholders, and partners must meet Circle K's then-current qualifications for new franchisees. This includes demonstrating the necessary business experience, such as management and sales abilities, and possessing the financial resources required to fulfill all obligations under the franchise agreement.
In practical terms, this means that someone looking to buy an existing Circle K franchise will need to undergo a similar evaluation process as a new franchisee. Circle K will assess their background, skills, and financial stability to ensure they are capable of successfully operating the business. This requirement protects the Circle K brand and ensures that all franchisees meet a certain standard of competence.
This process is typical in franchising, as franchisors want to maintain consistency and quality across all locations. A prospective Circle K franchisee should be prepared to provide detailed information about their business experience and financial resources to gain approval for the transfer. They should also be aware that the proposed store manager will also be evaluated and may need to complete the training program.
