What This Means (2025 FDD)

According to Circle K's 2025 Franchise Disclosure Document, franchisees face specific restrictions regarding the copying and use of confidential information. Franchisees must use all reasonable means to keep all Confidential Information secret and confidential. They are explicitly prohibited from copying any Confidential Information, or any portion of it, unless they have received written approval from Circle K. Even with approval, the franchisee can only use the Confidential Information as permitted under the franchise agreement.

Furthermore, the franchisee is not allowed to communicate, divulge, or use any Confidential Information for the benefit of any other person or entity during the term of the agreement or after its termination. The only exception to this rule is that franchisees may share Confidential Information with their employees, but only those employees who need access to the information to operate the Circle K store. These employees must also agree in writing to maintain the confidentiality of the information as required by the franchise agreement.

These restrictions are typical in franchising, as they protect the franchisor's proprietary business methods and trade secrets. For a prospective Circle K franchisee, this means understanding the scope of 'Confidential Information' as defined in the agreement and implementing procedures to safeguard it. This includes controlling access to manuals and data, securing employee confidentiality agreements, and seeking written approval before copying or sharing any information deemed confidential. Failure to comply with these restrictions could result in a breach of the franchise agreement and potential legal consequences.
