What This Means (2025 FDD)
Based on the 2025 Franchise Disclosure Document, the ownership of ideas created by a Circle K franchisee's employees is not explicitly addressed. However, the FDD does state that Circle K owns all Customer Information and defines Confidential Information, which could potentially include ideas depending on their nature and relevance to the Business System.
According to the agreement, "Confidential Information" includes a broad range of items such as methods, policies, procedures, programs, standards, trade secrets, data, software, technology, materials, know-how, ideas, techniques, marketing plans, strategic plans, research methods, methods of operation, improvements, and copyrighted materials. This definition suggests that any ideas developed by the franchisee's employees that relate to the Circle K Business System could be considered the property of Circle K.
Given the lack of specific detail regarding employee-generated ideas, it is important for prospective franchisees to seek clarification from Circle K regarding the ownership of intellectual property developed by their employees. Understanding the specific circumstances under which Circle K would claim ownership is crucial. Franchisees should inquire about policies or procedures that govern the handling of employee suggestions or innovations, and whether there are any mechanisms in place for compensating franchisees or their employees for ideas that are adopted by the Circle K system.
