Can a Circle K franchisee use the Circle K trademarks as part of their legal entity name?

Circle_K Franchise · 2025 FDD

Answer from 2025 FDD Document

Franchisee will not use any of the Marks or anything similar thereto, in or as part of its corporate, sole proprietorship, partnership or other legal entity name.

Franchisee will at all times hold itself out to the public as an independent contractor operating the Store pursuant to a license from Franchisor.

Whenever practical, Franchisee will clearly indicate on its business checks, stationery, purchase orders, business cards, invoices, receipts, advertising and promotional materials, and other written materials that Franchisee is a "Circle K®" franchisee.

Franchisee will display signs at the Franchised Location that are clearly visible to the general public indicating that the Store is independently owned and operated as a franchised Circle K Store.

What This Means (2025 FDD)

According to the 2025 Circle K Franchise Disclosure Document, a franchisee is explicitly prohibited from using Circle K's trademarks as part of their legal entity name. The franchise agreement states that franchisees cannot use the Circle K marks, or anything similar to them, in their corporate, sole proprietorship, partnership, or any other legal entity name. This restriction is in place to protect Circle K's brand identity and ensure consistent brand representation across all franchise locations.

This requirement ensures that the franchisee is viewed as an independent operator licensed by Circle K, rather than an extension of the Circle K corporation itself. To reinforce this, Circle K requires franchisees to clearly indicate in their business materials (checks, stationery, etc.) that they are a "Circle K®" franchisee. They must also display visible signs at their location stating that the store is independently owned and operated as a franchised Circle K store.

These stipulations are typical in franchising, where maintaining brand consistency and clarity of business relationships is crucial. By preventing franchisees from incorporating the Circle K name into their legal entity, Circle K maintains control over its brand and avoids potential legal confusion or liabilities that could arise if franchisees were perceived as direct extensions of the parent company. This also protects the public perception of Circle K as a unified brand, regardless of individual store ownership.
