What This Means (2025 FDD)
According to the 2025 Circle K Franchise Disclosure Document, a franchisee can divulge Confidential Information to its employees under specific conditions. The franchisee is permitted to share Confidential Information only with employees who require access to it for the purpose of operating the Circle K store. However, this is contingent upon those employees agreeing, in writing, to maintain the confidentiality of the information as mandated by the franchise agreement. This stipulation ensures that while employees can access necessary information, they are legally bound to protect it.
This policy reflects a common practice in franchising, where franchisees need to share operational details with their staff. By requiring a written confidentiality agreement, Circle K aims to mitigate the risk of sensitive information being leaked or misused. The definition of "Confidential Information" is broad, encompassing business systems, manuals, trade secrets, customer data, marketing plans, and any other information that Circle K designates as confidential or that a reasonable person would consider confidential. This broad definition underscores the importance of maintaining strict confidentiality within the franchise network.
For a prospective Circle K franchisee, this means carefully managing which employees gain access to Confidential Information and ensuring that all such employees sign a legally binding confidentiality agreement. Failure to comply with this requirement could result in a breach of the franchise agreement, potentially leading to penalties or even termination of the franchise. Franchisees should also ensure they understand the full scope of what Circle K considers Confidential Information to avoid unintentional disclosures.
