Royalty Fees are payable to us and are non-refundable. All monthly payments required by the Convenience Store Franchise Agreement must be paid by electronic funds transfer via the Automated Clearing House ("ACH") or wired to us or our affiliate by the 25th day of each month for the preceding calendar month's business activity. If the 25th day of the month falls on a Saturday or Sunday, such fees shall be paid on the Monday following the 25th day of the month. Any payment not actually received on or before such date will be deemed overdue.

What This Means (2025 FDD)

According to Circle K's 2025 Franchise Disclosure Document, the monthly Royalty Fees must be paid by the 25th day of each month for the preceding calendar month's business activity. The payment must be made via electronic funds transfer through the Automated Clearing House (ACH) or wired to Circle K or its affiliate. If the 25th falls on a Saturday or Sunday, the fees are due on the following Monday. Payments not received by this date are considered overdue.

It is important for prospective Circle K franchisees to note that the Royalty Fee is non-refundable. Failing to make timely payments can result in late fees and other penalties. Additionally, the Software License Fee, if charged, is paid in the same manner as the Royalty Fee. Also, Promotional Fees are paid in the same manner as the Royalty Fees and are non-refundable, but franchisees will not be required to pay Promotional Fees on Gross Sales over $125,000 per month.

Other fees, such as the Network Fee and Optional Program Fees, are also due on the 25th of each month via electronic funds transfer. The Network Fee is currently $50 per month, and Optional Program Fees vary depending on the program, ranging from 5% to 75% of Optional Program revenue. Franchisees should carefully review all fee obligations to ensure compliance and avoid penalties.
