The Software License Fee is for the right to utilize the TMC Software, as defined in the Electronic Point of Sale and Software Agreement (the "Software Agreement") (a copy of which is attached to the Convenience Store Franchise Agreement as Exhibit 2), required for your Store and includes all upgrades as they become available.

The Software License Fee is paid to us in the same manner as the Royalty Fee.

Currently, we are not charging a Software License Fee, but have the right to do so upon sixty (60) days' written notice.
