What This Means (2025 FDD)

According to Circle K's 2025 Franchise Disclosure Document, franchisees have strict confidentiality obligations regarding the Business Systems Manuals. These manuals, which include Store Guides and Operations and Reference Manuals, are considered Circle K's exclusive intellectual property and must be kept confidential both during the term of the franchise agreement and afterward. Franchisees must use reasonable means to maintain the secrecy of all Confidential Information. This includes the Business Systems Manuals, methods, policies, procedures, programs, standards, trade secrets, information, data, Customer Information, software, technology, materials, know-how, ideas, techniques, procedures, marketing plans, strategic plans, research methods, methods of operation, improvements, and copyrighted materials.

The Circle K franchisee is prohibited from copying any Confidential Information, including the Business Systems Manuals, without written approval from Circle K, and may only use the information as permitted by the franchise agreement. This underscores the importance of protecting Circle K's proprietary systems and operational methods. The franchisee must ensure that the Business Systems Manuals are always current and up-to-date, and in case of any discrepancies, the master copy maintained by Circle K will take precedence.

These confidentiality obligations are typical in franchising, as franchisors need to protect their brand standards, trade secrets, and operational methods. For a prospective Circle K franchisee, this means understanding that the Business Systems Manuals are not just guides but confidential documents that must be safeguarded. Failure to comply with these confidentiality requirements could lead to breach of contract and potential legal consequences. Franchisees should clarify with Circle K what constitutes 'reasonable means' to protect this information and ensure they have systems in place to prevent unauthorized access or disclosure.
