  • (iv) We and/or our affiliates may acquire, be acquired by, or merge with another entity with existing businesses or franchises that are similar to or competitive with the Businesses anywhere and (a) convert the other businesses to be Businesses operating under the Marks and the System (except to be Swirl Businesses inside your Area of Protection), (b) permit the other businesses to continue to operate under another name anywhere, and/or (c) permit the businesses to operate under another name and convert your Franchised Business and existing Businesses to such other name.

What This Means (2025 FDD)

According to the 2025 Cinnabon Franchise Disclosure Document, Cinnabon or its affiliates have the right to acquire, be acquired by, or merge with another entity that has existing businesses or franchises similar to or competitive with Cinnabon businesses. Following such a transaction, Cinnabon can convert these other businesses to Cinnabon businesses operating under the Cinnabon Marks and System. However, this conversion cannot occur for Swirl Businesses inside a franchisee's Area of Protection.

Cinnabon also has the option to permit these other businesses to continue operating under their existing names, regardless of location. Alternatively, Cinnabon can allow the businesses to operate under another name and convert both the franchisee's Franchised Business and existing Cinnabon Businesses to that other name.

This clause provides Cinnabon with significant flexibility in managing its brand and expanding its reach through acquisitions and mergers. For a potential franchisee, this means that Cinnabon could acquire a competing business and convert it to a Cinnabon, potentially increasing brand presence and competition in the market.
