We have offered Cinnabon® franchises since April 2017. As of December 31, 2024, there were 1,002 franchised Bakeries in the United States and 1,040 franchised Bakeries operating outside the United States and 193 Seattle's Best Coffee units outside the United States. We do not own any Bakeries. As of December 31, 2024, our affiliate, Schlotzsky's Stores LLC ("Schlotzsky's Stores"), owned and operated 28 Bakeries in the United States.
In addition to offering franchises, we or our affiliates also sell products to (i) wholesale accounts that offer Cinnabon® products at retail, such as supermarkets, convenience stores, club stores and other similar retail outlets and (ii) unaffiliated branded restaurants and retail stores that we permit to sell one or more Cinnabon® branded products.
Predecessors, Parents and Certain Affiliates
We are an indirect, wholly-owned subsidiary of GoTo Foods LLC, a Delaware limited liability company formerly known as Focus Brands LLC ("GoTo Foods"). GoTo Foods was originally incorporated in Delaware as Focus Brands Inc. before it converted to a Delaware limited liability company on December 29, 2019. GoTo Foods shares our principal business address, has not conducted a business of the type that you will operate, and has not offered franchises in any line of business. GoTo Foods is the indirect parent company of six other franchise systems (see below).
We are a direct, wholly-owned subsidiary of GoTo Foods Systems LLC ("GoTo Systems"), a Delaware limited liability company formerly known as Focus Brands Systems LLC. GoTo Systems is a direct, wholly-owned subsidiary of GoTo Foods Funding LLC ("GoTo Funding"), a Delaware limited liability company formerly known as Focus Brands Funding LLC. GoTo Systems is an indirect, wholly-owned subsidiary of GoTo Foods. GoTo Systems and GoTo Funding share our principal business address, have not conducted a business of the type that you will operate, and have not offered franchises in any line of business.
Cinnabon LLC ("CLLC"), a Georgia limited liability company that shares our principal business address, is an indirect subsidiary of GoTo Foods. CLLC was originally incorporated as Cinnabon, Inc., a Washington corporation and converted to a Georgia limited liability company, Cinnabon LLC, on December 28, 2015. CLLC is our predecessor and offered Cinnabon® franchises from
1990 to 1994 and from March 1999 to April 2017. Since 2003, CLLC has owned the master franchise rights to sub-franchise Seattle's Best Coffee® franchises on military bases in the United States and internationally in 8 countries.

What This Means (2025 FDD)
According to the 2025 Cinnabon Franchise Disclosure Document, Cinnabon Franchisor SPV LLC has been offering franchises since April 2017. However, the brand's predecessor, Cinnabon LLC (CLLC), offered Cinnabon franchises from 1990 to 1994 and again from March 1999 to April 2017. This means there were periods when Cinnabon franchises were not available. Cinnabon LLC became affiliated with GoTo Foods in November 2004.
It's important to note that Cinnabon Franchisor SPV LLC is the current franchisor, a Delaware limited liability company organized on February 2, 2017. The FDD clarifies that "we" or "us" refers to Cinnabon Franchisor SPV LLC. This distinction is important for prospective franchisees to understand the history and evolution of the Cinnabon franchise system.
