What This Means (2025 FDD)
According to the 2025 Cinnabon Franchise Disclosure Document, several schedules are attached to the standard Cinnabon Franchise Agreement. These schedules provide additional details and specifications related to the agreement. Schedule A outlines the franchise-specific terms, which likely include details such as the franchisee's name, location, and other individualized information. Schedule B focuses on personal covenants, which are agreements made by individuals with an equity interest in the franchisee entity. Schedule C includes the Guaranty of Payment and Performance, ensuring financial obligations are met. Schedule D is a State Law Addendum, included only if required by the franchisee's state. Finally, Schedule E is a Multi-Unit Addendum, applicable if the franchisee is developing multiple Cinnabon locations.
In addition to the standard schedules, there are also schedules that apply to specific types of Cinnabon bakeries. The Cinnabon Express Schedule replaces Schedule A of the standard agreement and is used for Express Bakeries, which are typically located within another business like a Schlotzsky's restaurant. Similarly, the Cinnabon Concession Bakery Schedule also replaces Schedule A and is used for Concession Bakeries, which operate from a trailer or food truck at temporary events.
For franchisees interested in co-branding opportunities, the Co-Branded Bakery Schedule is used when a Cinnabon franchise is operated in conjunction with another franchise, such as Carvel or Auntie Anne's. The Swirl Bakery Schedule is used for Carvel Co-Branded Bakeries operating under the Cinnabon Swirl™ mark. Finally, there are schedules and agreements for Satellite Retail Units, including a specific addendum and lease agreement. These various schedules allow Cinnabon to tailor the Franchise Agreement to different business models and locations.
