Cinnabon Franchise · 2025 FDD

Answer from 2025 FDD Document

We and our affiliates reserve all rights that we do not expressly grant you in this Agreement.

For example, without limitation, we and our affiliates have the following rights, without providing any rights or compensation to you:

  • (i) We and/or our affiliates may establish or license franchises and/or company-owned businesses offering products or services that are similar or identical to the Approved Products using the System or elements of the System under the Marks or any other marks (a) anywhere outside of the Area of Protection, (b) in Other Locations inside or outside the Area of Protection, or (c) in businesses other than Swirl Businesses inside or outside the Area of Protection (including businesses that are co-branded with both the Carvel® and Cinnabon® brands).

We have the right, upon reasonable notice, to change, discontinue, or substitute for any of the Intellectual Property and to adopt entirely different or new Intellectual Property for use with the System without any liability to you, in our sole discretion.

You agree to implement any such change at your own expense within the time we reasonably specify.

What This Means (2025 FDD)

According to the 2025 Cinnabon Franchise Disclosure Document, Cinnabon reserves significant rights regarding the Cinnabon system's operation, development, and changes. Cinnabon retains all rights not explicitly granted to the franchisee in the franchise agreement. This includes the right to establish or license franchises and company-owned businesses that offer similar or identical products using the Cinnabon system and trademarks outside the franchisee's area of protection. They can also operate in "Other Locations" such as airports, malls, and entertainment venues, even within a franchisee's protected area.

Cinnabon and its affiliates can sell approved products through alternative channels of distribution, including supermarkets, convenience stores, e-commerce, and delivery kitchens, without providing compensation to the franchisee. They also reserve the right to advertise anywhere using Cinnabon's trademarks. These reserved rights allow Cinnabon to explore various business avenues and maintain control over its brand and system.

Furthermore, Cinnabon has the right to modify the intellectual property associated with the system. This includes the ability to change, discontinue, or substitute any intellectual property and adopt entirely new intellectual property for use within the Cinnabon system. The franchisee is obligated to implement these changes at their own expense within a reasonable timeframe specified by Cinnabon. This provision enables Cinnabon to adapt to market changes and protect its brand identity, but it also places the financial burden of system updates on the franchisee.
