If I operate a Swirl Bakery in a Streetside Location with an Area of Protection, can Cinnabon establish franchises that are not Swirl Bakeries (including Carvel Co-Branded Bakeries) inside my Area of Protection?

ablish or operate, another Co-Branded Bakery (other than a Swirl Bakery) at a Streetside Location within the Area of Protection. For the avoidance of doubt, we may operate, or license others to operate, single-branded Bakeries, Swirl Bakeries, or Bakeries that do not include the exact combination of brands as the Co-Branded Bakery (such as a Bakery that is co-branded with a brand other than the second brand in the Co-Branded Bakery or that is multi-branded with such second brand and one or more other brands).
If you operate a Swirl Bakery in a Streetside Location, during the term of the Franchise Agreement, we will not establish or operate, nor license any other person to establish or operate, another Swirl Bakery at a Streetside Location within the Area of Protection. For the avoidance of
doubt, we may operate, or license others to operate, single-branded Bakeries or Carvel Co-Branded Bakeries inside or outside the Area of Protection.
We may negotiate your Area of Protection with you. The size and scope of the Area of Protection will be in the Franchise Agreement and will be determined on a case-by-case basis.

What This Means (2025 FDD)
According to Cinnabon's 2025 Franchise Disclosure Document, if you operate a Swirl Bakery in a Streetside Location and have an Area of Protection, Cinnabon retains the right to establish or license other franchises within that area that are not Swirl Bakeries. Specifically, Cinnabon may operate or license others to operate single-branded Bakeries or Carvel Co-Branded Bakeries inside your Area of Protection. This means that while you are protected from other Swirl Bakeries in Streetside Locations, Cinnabon can still introduce other Cinnabon-branded or co-branded concepts that may compete with your Swirl Bakery.
This reserved right allows Cinnabon to adapt to market demands and introduce different business models without being restricted by the Area of Protection granted to Swirl Bakeries. For a franchisee, this means that even with an Area of Protection, you may face competition from other Cinnabon-affiliated businesses. The Area of Protection only prevents Cinnabon from establishing another Swirl Bakery in a Streetside Location within your protected area.
Cinnabon also retains the right to establish franchises and/or company-owned businesses offering similar products or services under the Cinnabon brand or other brands anywhere outside of your Area of Protection, in Other Locations inside or outside the Area of Protection, or in businesses other than Swirl Bakeries inside or outside the Area of Protection (including Carvel Co-Branded Bakeries). This broad reservation of rights underscores that the Area of Protection is limited and does not guarantee complete protection from internal competition.
Prospective franchisees should carefully consider the implications of these reserved rights and how they might affect the potential profitability of their Swirl Bakery. It is important to understand the competitive landscape and market conditions in the Area of Protection, as Cinnabon retains considerable flexibility in establishing other types of businesses, including Carvel Co-Branded Bakeries, that could draw customers away from your location.
