If Cinnabon or its affiliates merge with another entity with similar businesses, can Cinnabon convert my Cinnabon franchised business to operate under the other entity's name?

  • (iv) We and/or our affiliates may acquire, be acquired by, or merge with another entity with existing businesses or franchises that are similar to or competitive with the Businesses anywhere and (a) convert the other businesses to be Businesses operating under the Marks and the System (except to be Swirl Businesses inside your Area of Protection), (b) permit the other businesses to continue to operate under another name anywhere, and/or (c) permit the businesses to operate under another name and convert your Franchised Business and existing Businesses to such other name.

What This Means (2025 FDD)

According to Cinnabon's 2025 Franchise Disclosure Document, Cinnabon and its affiliates have the right to merge with another entity that has similar or competitive businesses. As a result of such a transaction, Cinnabon has broad latitude regarding branding and operations.

Specifically, Cinnabon can convert other acquired businesses to Cinnabon franchises operating under the Cinnabon marks and system, except for Swirl Businesses inside a franchisee's Area of Protection. Alternatively, Cinnabon can allow the acquired businesses to continue operating under their existing names.

Most significantly, Cinnabon can require existing Cinnabon franchisees to convert their franchised businesses to operate under the name of the merged entity. This means a franchisee could be compelled to rebrand their established Cinnabon business, which could involve significant costs and a shift in brand recognition. This clause gives Cinnabon considerable flexibility in managing its brand portfolio after a merger or acquisition, but it also introduces a degree of uncertainty and risk for franchisees who may be forced to adapt to a new brand identity.
