Will GoTo Foods be a party to the Franchise Agreement that I sign with Cinnabon?

As reflected in Item 1, GoTo Foods will be providing required support and services to franchisees under a management agreement with us. Attached as Exhibit A are the audited financial statements of GoTo Foods as of and for the fiscal years December 29, 2024 and December 31, 2023. These financial statements are being provided for disclosure purposes only. GoTo Foods is not a party to the Franchise Agreement or other agreement we sign with franchisees nor does it guarantee our obligations under the Franchise Agreement or other agreements we sign with franchisees.

What This Means (2025 FDD)
According to the 2025 Cinnabon Franchise Disclosure Document, GoTo Foods will not be a party to the Franchise Agreement that a franchisee signs. While GoTo Foods has a management agreement with Cinnabon to provide support and services to franchisees, and may delegate some of these responsibilities to affiliates, Cinnabon Franchisor SPV LLC remains responsible for all support and services required under the Franchise Agreement.
Furthermore, the FDD states that GoTo Foods does not guarantee Cinnabon's obligations under the Franchise Agreement. However, GoTo Systems, the parent company of Cinnabon, does guarantee Cinnabon's performance of obligations under the franchise agreements.
Prospective franchisees should understand that while GoTo Foods provides support services to Cinnabon, the legal agreement is between the franchisee and Cinnabon Franchisor SPV LLC. Any issues or disputes related to the franchise agreement would be with Cinnabon, although GoTo Foods' involvement in providing support could be a factor in resolving such issues. It is important to note that GoTo Foods' audited financial statements are included in the FDD for disclosure purposes only.
