Currently, to satisfy your Local Marketing Obligation, each calendar quarter, you must spend on local market advertising a reasonable amount you determine but not less than 1% of your Net Sales. We may change the Local Marketing Obligation, provided that we must give you at least 60 days' written notice of the change and the required Advertising Contribution and Local Marketing Obligation may not collectively exceed 5% of your Net Sales. You will determine the amount of funds you spend for individual local market advertising, subject to the minimum Local Marketing Obligation. Local advertising expenditures must comply with our requirements in order to count toward the Local Marketing Obligation. If you fail to meet the Local Marketing Obligation, we will have the right to spend an amount not to exceed 1.0% of the Net Sales of your Bakery on local advertising for you, and you must reimburse us for these expenses. Amounts you contribute to an Advertising Cooperative will be credited toward the Local Marketing Obligation. Your Local Marketing Obligation is in addition to your Grand Opening Obligation and your required Advertising Contribution.

We have the right upon written notice to you to require you to pay all or a portion of the Local Marketing Obligation to us for us to, in our sole discretion, (a) contribute to the Ad Fund, (b) spend on national, regional, or local advertising campaigns, (c) contribute to your Advertising Cooperative, or (d) spend on local advertising in your market. If we exercise our right to collect your entire Local Marketing Obligation (and not just a portion of it), you will not be required to (x) spend a minimum amount on local advertising (other than your Grand Opening Obligation), (y) provide a local marketing plan, or (z) participate in, or contribute to, your Advertising Cooperative. We are not obligated to ensure that the Local Marketing Obligation monies that we spend are proportionate or equivalent to your contributions or that your Bakery will benefit directly or pro rata or in any amount from the placement of advertising.

What This Means (2025 FDD)

According to Cinnabon's 2025 Franchise Disclosure Document, Cinnabon offers advertising assistance to franchisees, but franchisees also have local advertising obligations. Cinnabon may formulate and conduct advertising programs and make approved advertising materials available for purchase by franchisees. Franchisees contribute to an Ad Fund, with contributions set at 2.5% of Net Sales for Bakeries in Other Locations and 3% for Streetside and Swirl Bakeries; no advertising contribution is collected for Express Bakeries in a Schlotzsky's. These contributions, along with a Local Marketing Obligation, cannot exceed 5% of Net Sales. Cinnabon has sole authority over advertising programs and the use of the Ad Fund.

Each calendar quarter, franchisees must spend a minimum of 1% of Net Sales on local market advertising to meet their Local Marketing Obligation. Cinnabon can change this obligation with 60 days' notice, but the combined Advertising Contribution and Local Marketing Obligation cannot exceed 5% of Net Sales. Franchisees determine their local advertising spending, but failure to meet the minimum obligation allows Cinnabon to spend up to 1% of the Bakery's Net Sales on local advertising, which the franchisee must reimburse. Contributions to an Advertising Cooperative are credited toward the Local Marketing Obligation.

Cinnabon has the right to require franchisees to pay their Local Marketing Obligation to Cinnabon, which can then use the funds for the Ad Fund, national, regional, or local advertising campaigns, contributions to the franchisee's Advertising Cooperative, or local advertising in the franchisee's market. If Cinnabon collects the entire Local Marketing Obligation, the franchisee is not required to spend a minimum amount on local advertising (excluding the Grand Opening Obligation), provide a local marketing plan, or participate in an Advertising Cooperative. Cinnabon does not guarantee that the spent Local Marketing Obligation monies will be proportionate to the franchisee's contributions or that the Bakery will directly benefit from the advertising. Franchisees are required to participate in any Advertising Cooperative that Cinnabon specifies. Amounts paid to an Advertising Cooperative will be credited against the Local Marketing Obligation. All advertising materials produced by Advertising Cooperatives must be approved by Cinnabon.
