What This Means (2025 FDD)

According to the 2025 Cinnabon FDD, the General Release document related to the assignment or renewal of a Cinnabon franchise agreement includes a clause stating that it survives the assignment or renewal of the Cinnabon Franchise Agreement or any other documents entered into by and between Cinnabon Franchisor SPV LLC and any of the undersigned in connection with the franchise relationship. This means that even after the franchise agreement is terminated or renewed, the terms of the general release remain in effect.

This survival clause ensures that the releases and discharges provided in the agreement continue to protect Cinnabon from any claims or demands, within the defined scope, even after the franchise relationship has ended or been altered through assignment or renewal. However, the general release is not intended as a waiver of those rights of the undersigned which cannot be waived under applicable state franchise laws nor is it intended to relieve Cinnabon Franchisor SPV LLC or any of the RELEASEE PARTIES, directly or indirectly, from liability imposed by the Maryland Franchise Registration and Disclosure Law.

For a prospective franchisee, this means that any releases signed as part of an assignment or renewal process will continue to bind them even after the franchise agreement itself has expired or been terminated. It is important to carefully review the terms of any general release to understand the full scope of the rights being waived and the potential long-term implications. Franchisees should be aware of the specific state laws that protect their rights and ensure that the release does not inadvertently waive those protections.
