Except as otherwise provided in the Manuals, you may use only Advertising and Promotional Content that we have furnished or approved in writing in advance. "Advertising and Promotional Content" includes all advertising, marketing, promotional, customer relationship management, public relations, and other brand-related programs, materials, and content relating to the Bakery, the Marks, or the Approved Products, including (i) any branded materials (such as business cards, signs, counter cards, banners, posters, displays, window clings, and in-store messaging), (ii) press releases, (iii) printed materials (such as leaflets, direct mail materials, coupons, and published advertisements), (iv) promotional items (such as branded specialty and novelty items, products, and clothing), (v) audio or video advertising (such as radio, television, or podcast ads or online video postings), and (vi) Digital Marketing (as defined below). You must ensure that all Advertising and Promotional

Content that you or your agents or representatives develop or implement related to the Bakery is (a) clear, factual, ethical, and not misleading, (b) complies with all laws, and (c) conforms to our Standards and the advertising and marketing policies that we periodically specify.

Currently, except for Advertising and Promotional Content we furnish to you and certain branded content social media postings, you must submit to us for our written approval, before use, copies of all proposed Advertising and Promotional Content that you intend to use or implement. We have the right to approve or disapprove (or to require you to discontinue using) any Advertising and Promotional Content, as well as the media in which intend to use them, in our sole discretion.

What This Means (2025 FDD)

According to the 2025 Cinnabon FDD, franchisees must obtain written approval from Cinnabon for all advertising and promotional content before it is used, with some exceptions. This includes a wide range of materials, such as branded items, press releases, printed materials, promotional items, audio/video advertising, and digital marketing. The content must be clear, factual, ethical, and compliant with all laws and Cinnabon's standards and policies. Cinnabon retains the right to approve or disapprove any advertising and promotional content and the media in which it is used.

This approval process extends to advertising and promotional materials produced by Advertising Cooperatives, which are groups of franchisees that collaborate on advertising efforts. Cinnabon may require these cooperatives to use only approved public relations firms and advertising agencies. All proposed advertising from these cooperatives must also be submitted for Cinnabon's written approval. Cinnabon also has the power to suspend or terminate an Advertising Cooperative's programs or operations with 30 days' written notice.

For grand opening advertising, franchisees must obtain written approval for their grand opening advertising plan at least 30 days before the campaign's start date. The franchisee must then implement the plan that Cinnabon approves or designates, using only approved advertising and promotional content. Cinnabon may also establish pricing requirements for approved products and require participation in system-wide discount programs and promotions, if permitted by law.

Regarding digital marketing, franchisees must obtain written consent from Cinnabon to conduct any digital marketing that uses Cinnabon's proprietary marks or relates to the bakery. If permitted, franchisees must comply with Cinnabon's standards and content requirements, use only approved materials, and submit any proposed modifications for approval. Cinnabon retains the right to pre-approve the use of linking and framing between any digital marketing and other websites and may withdraw approval for any digital marketing at any time. These stipulations give Cinnabon significant control over how its brand is presented and marketed, ensuring consistency and adherence to its standards.
