Can Cinnabon or its affiliates convert other businesses to Cinnabon businesses operating under the Marks and System inside a franchisee's Area of Protection?

  • (iv) We and/or our affiliates may acquire, be acquired by, or merge with another entity with existing businesses or franchises that are similar to or competitive with the Businesses anywhere and (a) convert the other businesses to be Businesses operating under the Marks and the System (except to be Swirl Businesses inside your Area of Protection), (b) permit the other businesses to continue to operate under another name anywhere, and/or (c) permit the businesses to operate under another name and convert your Franchised Business and existing Businesses to such other name.

What This Means (2025 FDD)

According to Cinnabon's 2025 Franchise Disclosure Document, Cinnabon and its affiliates have the right to acquire, be acquired by, or merge with other entities that have existing businesses or franchises similar to or competitive with Cinnabon businesses. This right extends to converting these other businesses into Cinnabon businesses operating under Cinnabon's Marks and System. However, this conversion is not allowed for Swirl Businesses inside a franchisee's Area of Protection.

This means that while Cinnabon can acquire a competing business and rebrand it as a Cinnabon in many locations, they cannot do so with a Swirl Business within an existing franchisee's protected area. The franchisor can permit these other businesses to continue operating under a different name anywhere, or convert the franchisee's existing Cinnabon business to another name.

For a prospective franchisee, this highlights the importance of understanding the scope and limitations of the Area of Protection. While the Area of Protection offers some security against direct competition from new Cinnabon locations, it does not prevent Cinnabon from acquiring existing businesses and operating them under a different brand within that area, or converting other businesses to Cinnabon businesses outside of Swirl Businesses inside the Area of Protection. This is a fairly standard practice in franchising, where franchisors retain considerable flexibility to expand their brand through various channels.
