What This Means (2024 FDD)

According to Cinch I.T.'s 2024 Franchise Disclosure Document, Cinch I.T. has the option to initiate legal action against a franchisee for temporary or preliminary injunctive relief, or to seek other temporary or permanent equitable relief. This action can be taken if Cinch I.T. deems it necessary to protect its Marks, rights, or property.

However, the FDD specifies that the final determination of any controversy, claim, or dispute will be decided through arbitration. Following arbitration, any recourse to the courts is limited to seeking an order to enforce the arbitral award. This means that while Cinch I.T. can initially seek injunctive relief in court to protect its interests, the ultimate resolution of the dispute will be determined by an arbitrator.

This clause is significant for prospective franchisees as it outlines the legal avenues Cinch I.T. can pursue to protect its brand and interests. While arbitration is the preferred method for resolving disputes, Cinch I.T. retains the right to seek immediate injunctive relief in certain situations, potentially leading to quicker resolutions in cases involving trademark infringement or other urgent matters. Franchisees should be aware of this provision and understand the circumstances under which Cinch I.T. might pursue such actions.
