Under what circumstances can Cinch I.T. exercise its right to operate the Franchised Business?

We also reserve the right to (a) establish, operate or license to any other person or entity the right to establish or operate a CINCH I.T.
Franchised Business at any location outside the Development Area; (b) develop, lease and license the use of, at any location inside or outside of the Development Area, trademarks other than the Marks, in connection with the operation of a system which offers products or services which are similar to or different from those offered under the System, on any terms or conditions which We deem advisable; (c) merge with, acquire or be acquired by any other business, including a business that competes with the CINCH I.T.
Franchised Businesses operated by You, whether located inside or outside of the Development Area; (d) acquire any information technology support business operated by competitors, or operated independently as part of, or in association with, any other system or chain, whether franchised or corporately owned, and convert it to the CINCH I.T.
System inside or outside of the Development Area; and (e) implement multi-area marketing programs which may allow Us, Our affiliates or other CINCH I.T. franchisees to solicit or sell to clients anywhere, and to issue mandatory policies to coordinate these multi-area marketing programs.
Upon the expiration or termination of this Agreement, You will no longer have a designated Development Area and each CINCH I.T.
Franchised Business that You opened will be limited to operating solely within the Franchisee's Designated Territory described in the individual Franchise Agreement.

What This Means (2024 FDD)
According to the 2024 Cinch I.T. Franchise Disclosure Document, Cinch I.T. retains specific rights regarding the operation of Cinch I.T. businesses. Cinch I.T. has the right to establish, operate, or license Cinch I.T. Franchised Businesses outside the Development Area. This means that while a franchisee may have certain protected territories, Cinch I.T. is not restricted from operating or franchising outside of those areas.
Cinch I.T. also reserves the right to develop, lease, and license trademarks other than the Cinch I.T. marks, even if these trademarks are used for systems offering similar or different products or services. This clause allows Cinch I.T. to diversify its business models and offerings without being restricted by existing franchise agreements. Furthermore, Cinch I.T. can merge with, acquire, or be acquired by any other business, including competitors of Cinch I.T. Franchised Businesses, whether those businesses are located inside or outside the Development Area. This provides Cinch I.T. with flexibility in terms of growth and market consolidation.
Additionally, Cinch I.T. has the right to acquire any information technology support business operated by competitors or independently and convert it to the Cinch I.T. System, regardless of location. This allows Cinch I.T. to expand its network by converting existing businesses to the Cinch I.T. brand. Cinch I.T. can also implement multi-area marketing programs that allow Cinch I.T., its affiliates, or other Cinch I.T. franchisees to solicit or sell to clients anywhere. These programs may include mandatory policies to coordinate marketing efforts across different areas.
Upon the expiration or termination of the Franchise Agreement, the franchisee's Development Area is no longer designated, and each Cinch I.T. Franchised Business is limited to operating solely within the Franchisee's Designated Territory described in the individual Franchise Agreement. This means that the franchisee's rights to a broader Development Area cease upon termination or expiration of the agreement, restricting their operations to the initially defined territory.
