Are there circumstances, other than default of the Development Agreement, in which Cinch I.T. can unilaterally modify territorial rights?

Continuation of your development rights does not depend on your achieving a certain sales volume, market penetration or other contingency. However, if you are in default of the Development Agreement (which may include, but is not limited to, a default for failing to comply with the Development Schedule) or any Franchise Agreement and fail to cure the default within the applicable cure period (if any), we may terminate the Development Agreement and your territorial rights in the Development Area, or other remedy as provided in the Development Agreement. There are no other circumstances in which we can unilaterally modify your territorial rights in the Development Area.

What This Means (2024 FDD)
According to Cinch I.T.'s 2024 Franchise Disclosure Document, outside of a default of the Development Agreement, there are no other circumstances in which Cinch I.T. can unilaterally modify a franchisee's territorial rights in the Development Area. However, it is important to note that Cinch I.T. franchisees do not receive an exclusive territory.
Cinch I.T. retains several rights that could impact a franchisee's business within their designated territory. Cinch I.T. can sell products and services through other channels of distribution, including the Internet, and is not restricted from soliciting or conducting business within a Development Area, without providing compensation to the franchisee. Cinch I.T. can also implement multi-area marketing programs that allow the company, its affiliates, or other franchisees to solicit or sell to clients anywhere.
Furthermore, Cinch I.T. has the right to develop, use, and franchise other trade names and trademarks for other types of businesses, including those that are dissimilar or non-competitive, within a franchisee's Designated Territory. They can also develop and use alternative distribution channels for the sale of any trademarked merchandise both within and outside of the territory, without compensating the franchisee. These stipulations mean that while a franchisee maintains their designated territory as long as they abide by the Franchise Agreement, Cinch I.T. retains considerable freedom to operate and expand its business in ways that could potentially compete with or impact the franchisee's operations.
