  • (d) Subject to the other provisions of Section 8 herein, including Section 8.2(c) above and Section 8.2(e) below, if You wish to sell, transfer or otherwise assign any portion, or all, of the Development Area, You shall notify Us in writing, and We will then approve or disapprove the same in Our sole discretion, and in addition, We may require any or all of the following as conditions of Our approval:

  • (i) All of Your and Your affiliates' accrued monetary obligations and all other outstanding obligations to Us, Our affiliates and suppliers must be fully paid and satisfied;

  • (ii) You and Your affiliates must not be in default of any provision of Your Franchise Agreements, any amendments thereof or successors thereto, or any other agreement between You or Your affiliates and Us, Our subsidiaries or affiliates;

  • (iii) You and each of Your affiliates, shareholders, members, partners, officers, managers and directors must sign a general release, under seal, the consideration for which shall be the approval of the transfer, in a form satisfactory to Us, of any and all claims against Us and Our affiliates, managers, officers, directors, members, shareholders and employees, in their corporate and individual capacities, including, without limitation, claims arising under federal, state and local laws, rules and ordinances;

  • (iv) The transferee must enter into a written assignment, under seal and in a form satisfactory to Us, assuming and agreeing to discharge all of Your obligations under this Agreement and the relevant Franchise Agreement(s), and the transferee's principals, individually, shall guarantee the performance of all these obligations in writing in a form satisfactory to Us;

According to Cinch I.T.'s 2024 Franchise Disclosure Document, a franchisee needs to meet several conditions before they can transfer, sell, or assign any part or all of their Development Area. Cinch I.T. has the discretion to approve or disapprove the transfer.

First, all outstanding monetary and other obligations to Cinch I.T., its affiliates, and suppliers must be fully paid. Second, the franchisee and their affiliates must not be in default of any provision of their Franchise Agreements or any other agreements with Cinch I.T. or its affiliates. Additionally, the franchisee, along with their affiliates, shareholders, members, partners, officers, managers, and directors, must sign a general release, under seal, relinquishing all claims against Cinch I.T. and its related parties.

Furthermore, the proposed transferee must enter into a written agreement, assuming all of the franchisee's obligations under the existing agreements, with their principals guaranteeing performance. Cinch I.T. also requires that they receive a completely executed copy of all transfer documents and provide written consent to the transfer. These conditions ensure that any transfer aligns with Cinch I.T.'s standards and protects its interests, maintaining the integrity of the franchise system.

Cinch I.T. also considers subjective factors when evaluating a transfer, including whether the transferee will assume all obligations, has paid all debts to Cinch I.T. and its affiliates, and is not in default of any agreements. The transferee should not operate a similar business (with exceptions for existing Cinch I.T. franchisees) and must meet all the requirements for new franchisees, such as good reputation, experience, financial stability, and the ability to devote the necessary time and effort to the business. The transferee must also meet Cinch I.T.'s current educational, managerial, and business standards, possess a good moral character, business reputation, and credit rating, and have sufficient equity capital to operate the Franchised Businesses.
