What This Means (2024 FDD)
According to Cinch I.T.'s 2024 Franchise Disclosure Document, the company does not require a franchisee's spouse or domestic partner to sign the Franchise Agreement or provide a personal guaranty. However, Cinch I.T. does require that the spouse or domestic partner sign a Spousal Non-Disclosure and Non-Competition Agreement. The current form for this agreement is included as Exhibit H in the Disclosure Document, but is subject to applicable state law.
This requirement means that while the spouse or domestic partner is not financially obligated under the Franchise Agreement, they are legally bound to maintain confidentiality and not engage in any competitive business activities against Cinch I.T. This is a fairly common practice in franchising to protect the franchisor's proprietary information and market position.
A prospective franchisee should carefully review Exhibit H and understand the implications of the Spousal Non-Disclosure and Non-Competition Agreement. They should also consult with an attorney to ensure that the agreement is enforceable under the laws of their specific state, as enforceability can vary. This agreement aims to protect Cinch I.T.'s interests by preventing those close to the franchisee from using confidential information or competing with the franchise.
