Answer from 2024 FDD Document

Our access to and use of electronic communications that franchisees post to the intranet. You acknowledge that, as administrator of the intranet, We can technically access and view any communication that any person posts on the intranet. You further acknowledge that the intranet facility and all communications that are posted to it will become Our property, free of any

claims of privacy or privilege that You or any other person or entity may assert; and,

(n) Confirmation of Performance. After We have completed Our pre-opening obligations to You under this Agreement, We may ask that You sign and deliver to Us a confirmation (the "Confirmation of Performance"), in a form We reasonably request, verifying that We have performed those obligations. If We ask You to provide Us with such a certificate, then You agree to sign and deliver the Confirmation of Performance to Us within three (3) business days after Our request. However, if You do not reasonably believe that We have performed all of Our pre-opening obligations, You must, within that same three (3) day period, give Us written notice specifically describing the obligations that We have not performed. Not later than three (3) business days after We complete all the obligations that You specified in that notice, You must sign and deliver the Confirmation of Performance to Us.

What This Means (2024 FDD)

According to Cinch I.T.'s 2024 Franchise Disclosure Document, the intranet facility and all communications posted on it become the property of Cinch I.T. itself. This means that Cinch I.T. has full ownership and control over the intranet, and franchisees relinquish any claims of privacy or privilege regarding their communications on the platform. Cinch I.T. also retains sole discretion and control over all aspects of the intranet/extranet, including its content and functionality.

This has significant implications for franchisees. While franchisees have the privilege to use the intranet, they must strictly comply with Cinch I.T.'s System Standards, protocols, and restrictions. These protocols may cover various aspects, including appropriate language, confidential treatment of materials, security precautions, and the grounds for suspending or revoking a franchisee's access to the intranet. Franchisees should be aware that Cinch I.T., as the administrator, can technically access and view any communication posted on the intranet.

Furthermore, Cinch I.T. has no obligation to maintain the intranet indefinitely and can dismantle it at any time without liability to the franchisee. This highlights the franchisor's control over the communication platform and the potential for changes or termination of the service. Prospective franchisees should carefully consider these terms and understand the extent of Cinch I.T.'s control over the intranet and its content.

In the franchise industry, it is common for franchisors to maintain control over internal communication platforms to ensure brand consistency and compliance. However, the specific terms regarding ownership and access can vary. It is important for prospective franchisees to fully understand these terms and how they may impact their communication and information sharing within the Cinch I.T. system.
