What This Means (2024 FDD)
According to Cinch I.T.'s 2024 Franchise Disclosure Document, the Operating Principal of a Cinch I.T. franchise must maintain a minimum ownership interest of 25% in the Franchise Entity, and Development Entity, if applicable. This requirement ensures that the Operating Principal has a significant stake in the business and is motivated to actively manage and develop the franchise.
In addition to the ownership requirement, the Operating Principal must have the authority over all business decisions related to the Franchised Business and must have the power to bind the franchisee in all dealings with Cinch I.T.. This ensures that the Operating Principal can effectively represent the franchise in its interactions with the franchisor and make decisions that are in the best interest of the business.
If the franchisee or Operating Principal cannot devote full time, energy, and effort to the operation of the Franchised Business, they must appoint a General Manager to manage the day-to-day business. However, General Managers are not required to have an equity interest in the franchise. Cinch I.T. retains the right to approve the General Manager based on their relevant experience and qualifications, if the general manager is not an owner.
Cinch I.T. requires written notice of the Operating Principal at the signing of the Franchise Agreement, and Development Agreement, if applicable, and of any General Manager prior to opening. Furthermore, the franchisee cannot change the Operating Principal without prior approval from Cinch I.T. and must inform Cinch I.T. of any changes in the management or operation of the Franchised Business.
