- (vii) You, Your principals and Your affiliates must remain liable for all direct and indirect obligations to Us in connection with the CINCH I.T.
Franchised Businesses before the effective date of transfer and will continue to remain responsible for Your obligations of nondisclosure, noncompetition and indemnification as provided in the Franchise Agreements and Guaranty Agreement, attached to this Agreement as Addendum C and shall sign any and all instruments reasonably requested by Us to further evidence this liability;

What This Means (2024 FDD)
The 2024 Cinch I.T. Franchise Disclosure Document addresses liability for obligations in the context of transferring a multi-unit development agreement. Specifically, if a Cinch I.T. multi-unit developer seeks to transfer their development area, the original developer and their affiliates must meet certain conditions.
One key condition is that the existing Cinch I.T. multi-unit developer and their affiliates must fully pay all accrued monetary obligations and satisfy all outstanding obligations to Cinch I.T., its affiliates, and suppliers. Additionally, they cannot be in default of any provisions within their franchise agreements or any other agreements with Cinch I.T. or its related entities.
Furthermore, the multi-unit developer, their principals, and affiliates must sign a general release, which essentially waives any claims against Cinch I.T. and its related parties. Even after the transfer, the original multi-unit developer, their principals, and their affiliates remain liable for all direct and indirect obligations to Cinch I.T. related to the franchised businesses that arose before the transfer. They also continue to be responsible for obligations related to nondisclosure, noncompetition, and indemnification as outlined in the franchise agreements and guaranty agreement.
