What This Means (2024 FDD)
According to Cinch I.T.'s 2024 Franchise Disclosure Document, if Cinch I.T. exercises its step-in rights due to a franchisee's default or actions that jeopardize the brand, Cinch I.T. will manage the gross sales of the franchised business. During this period, all gross sales will be maintained in a separate account.
From this account, Cinch I.T. will cover all expenses of the franchised business. These expenses include the royalty fee, all marketing fund contributions or payments, and reasonable compensation and expenses for Cinch I.T.'s representatives. The franchisee is responsible for holding Cinch I.T. and its representatives harmless for any actions or omissions during this temporary operation and must cover Cinch I.T.'s reasonable attorney's fees and costs arising from the step-in rights.
This arrangement ensures that the Cinch I.T. system and brand integrity are maintained during the step-in period. However, the franchisee bears the financial responsibility for the business's expenses, royalty and marketing fees, and any legal costs incurred by Cinch I.T. during this time. It is important to note that Cinch I.T.'s step-in rights do not prevent them from exercising other rights, including terminating the franchise agreement.
