What This Means (2024 FDD)
According to Cinch I.T.'s 2024 Franchise Disclosure Document, the guarantor plays a significant role in ensuring the franchisee's adherence to the Franchise Agreement. The guarantor essentially steps into the shoes of the franchisee, taking on their responsibilities and obligations. This arrangement is formalized through a Guaranty Agreement, where the guarantor agrees to be bound by the terms and conditions outlined in the Franchise Agreement.
The guarantor personally and unconditionally makes all the covenants, representations, and agreements of the franchisee as if they were the franchisee themselves. This means the guarantor is equally responsible for fulfilling all promises and obligations made by the franchisee in the Franchise Agreement. Furthermore, the guarantor provides an unconditional and irrevocable guarantee to Cinch I.T. that all of the franchisee's obligations will be fulfilled punctually, not only during the term of the agreement but also after its termination if applicable.
In practical terms, this means that if the franchisee fails to meet their financial or operational obligations, Cinch I.T. can turn to the guarantor for recourse. The guarantor is personally liable for any breaches of the Franchise Agreement by the franchisee. Upon the franchisee's default or upon receiving notice from Cinch I.T., the guarantor is obligated to immediately make any payments and perform any obligations that the franchisee is required to fulfill under the Franchise Agreement. This ensures that Cinch I.T. has an additional layer of security and assurance that the terms of the Franchise Agreement will be upheld.
