Can Cinch I.T. franchisees face competition from other franchisees?

According to Cinch I.T.'s 2024 Franchise Disclosure Document, franchisees may face competition from other franchisees. While Cinch I.T. will not establish or license another Cinch I.T. business within a franchisee's Designated Territory while the Franchise Agreement is in effect and the franchisee is not in default, the document explicitly states that franchisees do not receive an exclusive territory. This means that other franchisees could potentially compete for clients, especially those outside of a franchisee's primary Designated Territory.

Cinch I.T. also retains the right to implement multi-area marketing programs, which may allow Cinch I.T., its affiliates, or other franchisees to solicit or sell to clients anywhere. This could further intensify competition among franchisees, as these programs may override the territorial protections that would otherwise exist. Franchisees are also not restricted from passively attracting clients from outside their Designated Territory, and Cinch I.T. does not restrict other franchisees from passively attracting clients outside their designated territory, which may include another franchisee's territory.

Furthermore, Cinch I.T. reserves the right to develop, use, and franchise other trade names and trademarks for other types of businesses, even within a franchisee's Designated Territory. While there are no active plans to do so, this clause introduces the possibility of Cinch I.T. or its other franchisees operating businesses under different brands that could compete with existing Cinch I.T. franchisees. This is a common practice in franchising, where franchisors may operate multiple brands in related or even overlapping industries. Prospective franchisees should consider the potential impact of these competitive factors on their business.
