What This Means (2024 FDD)
According to the 2024 Cinch I.T. Franchise Disclosure Document, a franchisee must acknowledge they have read the Franchise Agreement and the Franchise Disclosure Document. Furthermore, the franchisee must acknowledge that they are not aware of any representations about the franchise, Cinch I.T., or its franchising program or policies made by Cinch I.T. or its representatives that contradict the statements in the Franchise Disclosure Document or the terms of the Franchise Agreement.
This acknowledgement confirms that the franchisee understands and accepts the terms, conditions, and covenants contained in the Franchise Agreement. These terms are deemed reasonably necessary by Cinch I.T. to maintain its high standards of quality and service and the uniformity of the System Standards across all Cinch I.T. businesses operating under the System. This uniformity is essential to protect and preserve the goodwill of the Licensed Rights.
In essence, this clause aims to prevent franchisees from later claiming they were misled or unaware of the agreement's terms. By signing the agreement, the franchisee confirms they have conducted their due diligence, understand the obligations, and accept the conditions necessary for maintaining the Cinch I.T. system's integrity and reputation. This is a standard practice in franchising, ensuring both parties are aligned on the terms and expectations of the franchise relationship.
