Answer from 2024 FDD Document

  • (i) Employee shall receive Franchisor's Confidential Information or Materials in confidence, maintain them in confidence, and use them only in the course of Employee's employment by Employer.

  • (ii) Employee will not, during the term of this Agreement or thereafter, directly or indirectly disclose to any other person or entity, or use for Employee's own account, or for other than Employer's business, any Confidential Information or Materials without first obtaining the written consent of Franchisor.

Employee shall at all times keep confidential all Confidential Information or Materials of Employer and Franchisor.

  • (iii) Employee will retain no copies of, and shall promptly deliver to Employer, upon the termination of Employee's services or at any other time Employer may request any and all documentary and other materials (including software) and all copies thereof in whatever form, including electronic versions thereof, made, compiled or otherwise obtained by or delivered or disclosed to Employee concerning any Confidential Information or Materials of Employer or Franchisor.

Employee shall not at any time make copies of any documents or compilations containing some or all of Franchisor's Confidential Information or Materials without the express written permission of Employer.

Employee shall not disclose or permit the disclosure of Franchisor's Confidential Information or Materials except to other employees of Employer and only to the limited extent necessary to train or assist other employees of Employer who have also signed Confidentiality Agreements or Non-Disclosure, Non-Solicitation and Non-Competition Agreements.

Employee agrees that in the event of a breach of this Agreement, Employer and/or Franchisor would be irreparably injured and be without an adequate remedy at law.

Therefore, in the event of such a breach, or threatened or attempted breach of any of the provisions thereof, Employer and/or Franchisor shall be entitled to enforce the provisions of this Agreement against Employee, and may seek, in addition to any other remedies which are made available to it at law or in equity, a temporary and/or permanent injunction and a decree for the specific performance of the terms of this Agreement, without being required to furnish a bond or other security.

What This Means (2024 FDD)

According to Cinch I.T.'s 2024 Franchise Disclosure Document, employees are obligated to maintain the confidentiality of the Franchisor's Confidential Information or Materials. As an employee, they must receive the confidential information in confidence, maintain it in confidence, and use it only during their employment with the Cinch I.T. franchisee. Employees are prohibited from disclosing the confidential information to any other person or entity or using it for their own account or for purposes outside the employer's business without the franchisor's written consent. They must keep all confidential information of both the employer (franchisee) and franchisor confidential at all times.

Upon termination of employment or at any time requested by the employer, the employee must promptly return all documentary and other materials, including software and electronic copies, containing confidential information of the employer or franchisor. Employees are prohibited from making copies of any documents containing the franchisor's confidential information without express written permission from the employer. Disclosure of confidential information is only permitted to other employees of the Cinch I.T. franchisee who have also signed confidentiality agreements, and only to the extent necessary for training or assistance.

The agreement emphasizing these confidentiality obligations can be enforced by either the Cinch I.T. franchisee (employer) or Cinch I.T. (franchisor). The document states that a breach of this agreement would cause irreparable injury, entitling the employer and/or franchisor to seek legal remedies, including injunctive relief and specific performance, without needing to furnish a bond or other security.

This stringent confidentiality requirement is typical in franchising, especially for technology-driven businesses like Cinch I.T., where proprietary information and trade secrets are crucial for maintaining a competitive advantage. Prospective franchisees should ensure that all their employees are willing to sign and adhere to these confidentiality agreements, as failure to do so could result in legal action and damage to the Cinch I.T. system's goodwill.
