What This Means (2024 FDD)
According to the 2024 Cinch I.T. Franchise Disclosure Document, the Employee Confidentiality Agreement mandates that employees receive the franchisor's Confidential Information or Materials in confidence. Specifically, the agreement states that the employee must maintain this information in confidence and use it only during their employment with the franchisee. This ensures that sensitive business data remains protected.
The agreement also restricts employees from disclosing Confidential Information or Materials to anyone outside the company without prior written consent from Cinch I.T. Furthermore, upon termination of employment, employees must return all materials containing Confidential Information, including software and electronic versions, to the employer. This provision aims to prevent unauthorized use or dissemination of proprietary information after the employee leaves the company.
These confidentiality measures are reinforced by the understanding that any breach of the agreement would cause irreparable harm to Cinch I.T. and its franchisees. Consequently, both the employer (franchisee) and Cinch I.T. have the right to seek legal remedies, including injunctions and specific performance, to enforce the agreement and protect their confidential information. This legal recourse underscores the importance Cinch I.T. places on maintaining the secrecy and integrity of its business operations and trade secrets.
