What This Means (2024 FDD)
According to Cinch I.T.'s 2024 Franchise Disclosure Document, the Employee Confidentiality Agreement mandates that upon termination of employment, the employee must promptly deliver all documentary and other materials related to confidential information to the employer. This includes software and any copies, regardless of form, whether electronic or otherwise, that were made, compiled, obtained, delivered, or disclosed to the employee concerning the confidential information of either the employer or Cinch I.T.
This requirement ensures that Cinch I.T. franchisees can protect sensitive business information and trade secrets when an employee leaves the company. By mandating the return of all materials, the agreement aims to prevent unauthorized use or disclosure of confidential information, which could harm the franchisee's business or the Cinch I.T. system.
The agreement also emphasizes that both the franchisee (employer) and Cinch I.T. (franchisor) can enforce the terms of the agreement. This dual enforcement right provides an additional layer of protection for confidential information, as either party can take legal action in case of a breach or threatened breach. The FDD states that Cinch I.T. or the franchisee can seek injunctive relief and specific performance without needing to furnish a bond or security. This highlights the importance Cinch I.T. places on protecting its confidential information and trade secrets.
For a prospective Cinch I.T. franchisee, this aspect of the Employee Confidentiality Agreement is crucial for maintaining the integrity and competitive advantage of their business. It aligns with standard franchise practices where protecting proprietary information is paramount for the success and stability of the franchise system.
