What This Means (2024 FDD)
According to the 2024 Cinch I.T. Franchise Disclosure Document, the Employee Confidentiality Agreement explicitly prohibits employees from disclosing Confidential Information or Materials to any other person or entity. Specifically, during the term of the agreement and thereafter, an employee cannot directly or indirectly disclose confidential information or use it for their own account or for any business other than the employer's without the franchisor's written consent.
This agreement ensures that Cinch I.T.'s trade secrets and confidential business information remain protected. Employees must also keep all confidential information secret at all times. Upon termination of employment or at the employer's request, the employee must return all materials (including software and electronic versions) containing confidential information.
The agreement can be enforced by either the employer (the franchisee) or Cinch I.T. (the franchisor). A breach or attempted breach of the agreement would cause irreparable injury, entitling the employer and/or franchisor to seek legal remedies such as injunctions and specific performance without needing to furnish a bond or security. This underscores the importance Cinch I.T. places on maintaining the confidentiality of its proprietary information and the measures in place to protect it.
