What This Means (2024 FDD)
According to Cilantro Taco Grill's 2024 Franchise Disclosure Document, the manager and all other personnel who will have access to the company's proprietary and confidential information and training must sign the Non-Disclosure/Non-Competition Agreement. Additionally, if the franchise is owned by an entity, all owners of the entity must personally sign the Franchise Agreement as a Principal. However, the franchisee's spouse is not required to sign a personal guaranty.
This requirement ensures that Cilantro Taco Grill's sensitive business information, such as recipes, operational methods, and training materials, remains protected. By having managers and personnel with access to this information sign the agreement, Cilantro Taco Grill aims to prevent unauthorized disclosure or use of its trade secrets, which could harm its competitive advantage.
For a prospective franchisee, this means they need to ensure that all relevant employees, especially the manager, complete and sign the Non-Disclosure/Non-Competition Agreement. If the franchisee is a business entity, all owners must sign the Franchise Agreement. This is a critical step in maintaining the integrity of the Cilantro Taco Grill system and protecting the franchisor's intellectual property. Failure to comply with this requirement could potentially lead to legal issues or termination of the franchise agreement.
