Are there any exceptions to the cure period for defaults under the Cicis Area Development Agreement?

What This Means (2025 FDD)
According to Cicis's 2025 Franchise Disclosure Document, under the Area Development Agreement, a franchisee typically has 30 days to cure defaults, except for those listed in section (h). Section (h) lists defaults that are not curable.
Specifically, these non-curable defaults include situations where the franchisee or their owners: become insolvent; operate the Cicis Restaurant at an unapproved location or sell unauthorized products/services; fail to secure the location rights or open the restaurant within the required timeframe; fail to build or remodel according to approved plans; lose possession of the restaurant premises; close the restaurant or indicate intent to permanently cease operations (except as permitted); fail to actively operate the restaurant for 3 or more consecutive days; abandon their rights; are convicted of a felony or other crime that could harm Cicis's system or goodwill; endanger public health/safety; fail to complete initial training; make unauthorized transfers; fail to promptly pay monies owed to Cicis, its affiliates, or designated suppliers, or fail to submit required financial information; default on any agreement with Cicis, its affiliates, or designated suppliers; engage in competing businesses; violate confidentiality obligations; falsify records; or breach their obligations.
Additionally, there are other circumstances under Section 6.B of the Area Development Agreement that can lead to termination. These include making material misrepresentations or omissions in application materials, failing to comply with the Development Schedule, making or attempting an unpermitted transfer, failing to comply with 3 or more obligations within a 12-month period or failing to comply with the same obligation on 2 or more separate occasions within a 6-month period, becoming insolvent, failing to comply with anti-terrorism laws, failing to correct any other failure to comply with any provision of the agreement within 30 days after written notice, an affiliate failing to comply with any other agreement with Cicis or its affiliate unless the failure is timely and completely cured within any cure period provided under the applicable agreement, or engaging in any conduct that adversely affects the reputation of Cicis Restaurants or the goodwill associated with the Marks.
