What This Means (2025 FDD)
According to Cicis's 2025 Franchise Disclosure Document, upon the expiration or termination of the franchise agreement, the franchisee and their owners must immediately cease exercising any rights granted to them under the agreement, either directly or indirectly. This means they can no longer operate a Cicis restaurant or use Cicis's trademarks, service marks, or system.
Additionally, franchisees and their owners must comply with all obligations that expressly survive or are intended to survive the termination or expiration of the agreement. These continuing obligations include non-disparagement, noncompetition, non-interference, confidentiality, and indemnification.
Finally, the franchisee and their owners must refrain from interfering with Cicis's relationships with vendors, franchisees, or consultants, and avoid any activity that could harm the goodwill of the Cicis marks or system. This is a standard clause in franchise agreements to protect the brand and its network after a franchisee exits the system.
