What This Means (2025 FDD)

According to Cicis's 2025 Franchise Disclosure Document, a franchisee who wishes to transfer their Development Rights must pay a transfer fee of $7,500 to Cicis. This fee is in addition to any costs required to reimburse Cicis for reasonable out-of-pocket expenses associated with the transfer.

Before a transfer can occur, Cicis has the right to review and approve the potential transferee. Cicis may also require the transferee to execute a copy of the then-current form of Guaranty, undertaking to be bound by all provisions of the Franchise Agreement. The transfer will not be approved if the franchisee has violated any provision of the agreement with Cicis within 60 days of requesting consent for the transfer, or between the request and the effective date of the transfer.

It is important to note that the transfer of the Development Rights must include the transfer of all Franchise Agreements signed under the Development Agreement to the same transferee. Cicis's consent to a transfer does not represent fairness of terms between the franchisee and transferee, nor does it waive any claims Cicis has against the franchisee.
