Our affiliate, Yes Caps, LLC ("Yes Caps"), owns the Marks (defined below) and has granted us the right to sublicense to our franchisees the right to use the Marks in accordance with the Franchise Agreements (defined below). Yes Caps shares our principal business address. Yes Caps has never operated a business similar to what you will operate and does not currently offer, and has never offered, franchises in any line of business.

What This Means (2025 FDD)
According to the 2025 Cicis Franchise Disclosure Document, Yes Caps, LLC is an affiliate of On Smile LLC, the franchisor. Yes Caps, LLC owns the trademarks and service marks (referred to as "Marks") associated with the Cicis brand. These Marks include the names, trademarks, service marks, commercial symbols, and trade dress (exterior and interior designs, décor, and color schemes) that Cicis authorizes its franchisees to use.
Yes Caps, LLC grants On Smile LLC the right to sublicense the use of these Marks to Cicis franchisees. This means that while Yes Caps, LLC owns the brand's intellectual property, On Smile LLC, as the franchisor, has the authority to allow franchisees to use the Cicis brand name and associated logos in their restaurant operations. Yes Caps, LLC shares the same principal business address as the franchisor, On Smile LLC.
It is important to note that Yes Caps, LLC has never operated a business similar to a Cicis restaurant and does not offer franchises in any line of business. Its sole role within the Cicis franchise system is to own and manage the brand's intellectual property and grant the franchisor the right to sublicense it to franchisees.
