What This Means (2025 FDD)
According to Cicis's 2025 Franchise Disclosure Document, Cicis retains all rights not explicitly granted to the franchisee in the franchise agreement. Specifically, Cicis reserves the right to undertake any actions not expressly prohibited by the agreement.
This reservation of rights allows Cicis to modify and develop the Cicis system as it deems appropriate, provided these changes are not specifically disallowed in the franchise agreement. Furthermore, Cicis has the discretion to make decisions or exercise rights in its sole judgment when the agreement allows the brand to take or withhold action, or to grant or decline any rights or approvals, unless the agreement states otherwise.
This means that a Cicis franchisee's rights are limited to those specifically outlined in the franchise agreement, and Cicis retains broad authority to act as it sees fit in areas not explicitly covered. A prospective franchisee should carefully review the franchise agreement to understand the scope of rights granted and the extent of the rights Cicis retains. Understanding these reserved rights is crucial for assessing the potential impact on the franchisee's business operations and autonomy.
