The Development Schedule is not our representation, express or implied, that the Development Area can support, or that there are or will be sufficient sites for, the number of Restaurants specified in the Development Schedule or for any particular Development Period. We are relying on your knowledge of the Development Area and your representation that you have conducted your own independent investigation and have determined that you can satisfy the Development Schedule.

What This Means (2025 FDD)
According to Cicis's 2025 Franchise Disclosure Document, Cicis does not guarantee that the Development Area can support the number of restaurants outlined in the Development Schedule. Instead, Cicis relies on the franchisee's expertise and independent assessment of the Development Area to determine if the schedule is achievable.
This means the prospective franchisee bears the responsibility of evaluating the market conditions, demographics, and competitive landscape within the Development Area to ensure there is sufficient demand and suitable locations to support the number of Cicis restaurants they are obligated to open according to the Development Schedule. Cicis offers no assurance that the area has enough potential sites or that the schedule is realistic.
This places a significant burden on the franchisee, who must conduct thorough due diligence before signing the Development Agreement. They should not rely on any implied representation from Cicis that the Development Area can viably support the planned expansion. The franchisee's own investigation and judgment are critical in determining whether to proceed with the development opportunity. Failing to meet the Development Schedule could result in penalties or termination of the agreement.
