What This Means (2025 FDD)
According to Cicis's 2025 Franchise Disclosure Document, notices sent via email are considered delivered when sent. For notices delivered by hand, mail, or carrier, delivery is deemed to occur at the earliest of actual delivery, the business day following deposit with a nationally recognized overnight carrier, or three business days after deposit with the US Postal Service for registered or certified mail. If a notice must be sent by both email and physical delivery, it's only considered delivered when both methods have been completed.
This is important for franchisees because it clarifies how Cicis will communicate official notices and when those notices are legally considered to have been received. Franchisees need to understand these terms to ensure they respond appropriately to any official communications from Cicis within required timeframes, especially concerning potential breaches of the agreement or other critical business matters.
The requirement to check the assigned Cicis email address daily is particularly noteworthy. Failing to monitor this email could result in missing important notices, potentially leading to non-compliance with the franchise agreement. After the agreement expires or terminates, Cicis will send notices via hand delivery, mail, or carrier to the franchisee's last known address and via email to the franchisee's last known non-Cicis system email address.
It is fairly common in franchise agreements to specify the methods and terms of delivering official notices. Franchisees should pay close attention to these details to avoid any misunderstandings or disputes regarding the delivery and receipt of important communications from the franchisor.
