What This Means (2025 FDD)

According to Cicis's 2025 Franchise Disclosure Document, notices sent via hand delivery, mail, or carrier are considered delivered at the earliest of three conditions. These conditions are (i) the date of actual delivery, (ii) the business day following prepaid deposit with a nationally recognized carrier for overnight or express delivery, or (iii) three business days after prepaid deposit with the U.S. Postal Service for registered or certified mail.

This means that Cicis uses a practical approach to ensure franchisees receive important communications, balancing the need for timely notification with the realities of different delivery methods. For instance, if Cicis sends a critical notice via overnight express, it's considered delivered the next business day, even if the franchisee hasn't physically received it yet. This places the onus on the franchisee to monitor for expected deliveries.

Notably, if a notice is required to be sent both by email and physical delivery, it's only considered delivered when both methods have been completed. This dual-delivery requirement underscores the importance of franchisees regularly checking both their email and physical mail for official communications from Cicis to ensure they don't miss any critical information or deadlines.
