What This Means (2025 FDD)

According to Cicis's 2025 Franchise Disclosure Document, Cicis has the right to modify the Manuals periodically, including through memoranda and newsletters, to reflect changes in System Standards. The master copy of the Manuals maintained by Cicis is the controlling version. These Manuals, along with any access credentials, are considered confidential information and must be protected against improper use and disclosure. Franchisees are allowed to disclose the Manuals to their employees who need to know the contents, provided those employees are bound by written confidentiality obligations.

This means that Cicis franchisees must stay updated with any changes or modifications to the operational standards and procedures as communicated by Cicis. These updates can come in various forms, including formal revisions to the Manuals or more immediate communications like memoranda and newsletters. Franchisees are responsible for ensuring their staff is also aware of and compliant with these changes, which requires maintaining confidentiality agreements with employees.

The ability of Cicis to modify the Manuals is a fairly standard practice in franchising, allowing franchisors to adapt to changing market conditions, improve operational efficiency, and maintain brand consistency. However, it also places a responsibility on the franchisee to remain informed and implement changes promptly. The franchisee bears the risk of non-compliance if updates are missed or ignored.

For a prospective Cicis franchisee, it is crucial to understand the frequency and method of these updates to ensure they can effectively manage and implement changes within their restaurant. They should also inquire about the typical scope and impact of such changes to better prepare for the ongoing operational adjustments required to maintain compliance with Cicis's System Standards.
