Does Cicis make any guarantees upon which franchisees may rely?

s sent via email are deemed delivered when. Notices sent by hand delivery, mail or carrier shall be deemed delivered at the earlier of (i) actual delivery, (ii) the next business day after prepaid deposit with a nationally recognized carrier for overnight or express delivery, or (iii) three business days after prepaid deposit with the US postal service for registered or certified mail. Notices required to be sent both by email and by hand delivery, mail or carrier shall be considered delivered only when delivered by both methods.
- B. Entire Agreement. This Agreement and the attachments hereto constitute the entire, full, and complete agreement between us and you concerning the subject matter hereof and will supersede all prior related agreements between us and you; provided, however, that nothing in this or any related agreement is intended to disclaim the representations we made in the franchise disclosure document that we furnished to you. Except for those permitted to be made unilaterally by us hereunder, no amendment, change, or variance from this Agreement will be binding on either party unless mutually agreed to by the parties and executed by their authorized officers or agents in writing.
- C. No Waiver. The following provision applies if you or the franchise granted hereby are subject to the franchise registration or disclosure laws of Illinois, Indiana, Maryland or Virginia: No statement, questionnaire, or acknowledgment signed or agreed to by a franchisee in connection with the commencement of the franchise relationship shall have the effect of (i) waiving any claims under any applicable state franchise law, including fraud in the inducement, or (ii) disclaiming reliance on any statement made by any franchisor, franchise seller, or other person acting on behalf of the franchisor.
This provision supersedes any other term of any document executed in connection with the franchise. No delay, waiver, omission, or forbearance to exercise any right, option, duty, or power arising out of any breach or default by a party will constitute a waiver of the right to enforce any such right, option, duty, or power, or as to a subsequent breach or default.

What This Means (2025 FDD)
According to Cicis's 2025 Franchise Disclosure Document, Cicis offers no explicit warranties, guarantees, or promises that a franchisee can rely on unless these are expressly stated in writing within the franchise agreement. The franchise agreement, along with its attachments, constitutes the entire agreement between Cicis and the franchisee, superseding any prior agreements. However, the franchise agreement does not disclaim representations made in the franchise disclosure document itself.
Specifically, Cicis's willingness to approve a proposed location for a restaurant does not constitute a representation, promise, warranty, or guarantee that the restaurant will be profitable or successful. The franchisee cannot rely on Cicis's agreement regarding the location as an assurance of the location's suitability for their specific requirements or for any other purpose. This means that while Cicis may offer assistance in site selection, the ultimate responsibility for assessing the location's viability rests with the franchisee.
However, Cicis does provide a protected area, within which Cicis agrees not to establish or authorize another party to establish a Cicis restaurant during the term of the agreement, subject to the franchisee's compliance with the agreement. This protected area is identified on Attachment A or A-1. This limited guarantee of a protected area offers some assurance against direct competition from other Cicis franchises within a defined geographic boundary, provided the franchisee remains in full compliance with the franchise agreement.
