Prior to the execution of this Agreement, you must designate and at all times maintain an Owner who is a natural person approved by us to serve as your Managing Owner ("Managing Owner"), with primary responsibility for the supervision of your activities under this Agreement.
Your initial Managing Owner is identified on Attachment A.
Unless otherwise approved by us, the Managing Owner will be the same for all franchise agreements executed pursuant to any Development Agreement between you (or your affiliate) and us and the same as the Managing Owner designated under any such Development Agreement.
The Managing Owner must own and maintain at least 25% of the direct ownership interests in you.
Except as may otherwise be provided in this Agreement, the Managing Owner's interest in you will be and will remain free of any pledge, mortgage, hypothecation, lien, charge, encumbrance, voting agreement, proxy, security interest, or purchase right or options.

What This Means (2025 FDD)
According to Cicis's 2025 Franchise Disclosure Document, the initial Managing Owner is identified on Attachment A of the Franchise Agreement. The Managing Owner is a designated individual who has primary responsibility for supervising the franchisee's activities under the agreement.
The Managing Owner must be approved by Cicis and must maintain at least 25% direct ownership in the franchise. Unless Cicis approves otherwise, the Managing Owner must remain consistent across all franchise agreements under any Development Agreement between the franchisee (or their affiliate) and Cicis.
The Managing Owner must successfully complete Cicis's initial training program within a reasonable time after the agreement is signed and before the restaurant opens. If the Managing Owner does not complete the program satisfactorily, the franchisee will have the opportunity to designate a new Managing Owner, who must also be approved by Cicis and complete the training. Failure to meet these training requirements may result in the termination of the Franchise Agreement.
The Managing Owner must have sufficient decision-making authority to ensure the restaurant operates effectively. They (or the Operator, if different) must devote their full-time efforts to supervising the restaurant's operation and, with Cicis's consent, may supervise other Cicis restaurants owned by the franchisee or their affiliates.
