Answer from 2025 FDD Document

Notices sent via email are deemed delivered when. Notices sent by hand delivery, mail or carrier shall be deemed delivered at the earlier of (i) actual delivery, (ii) the next business day after prepaid deposit with a nationally recognized carrier for overnight or express delivery, or (iii) three business days after prepaid deposit with the US postal service for registered or certified mail. Notices required to be sent both by email and by hand delivery, mail or carrier shall be considered delivered only when delivered by both methods.

What This Means (2025 FDD)

According to Cicis's 2025 Franchise Disclosure Document, when a notice must be sent by both email and traditional methods (hand delivery, mail, or carrier), it is only considered delivered once both methods have confirmed delivery. This dual requirement ensures that the franchisee receives critical information through multiple channels, reducing the risk of missed communications.

For a prospective Cicis franchisee, this means that important notices, such as those regarding breaches of contract or changes in operational procedures, are not officially recognized until both the email and the physical notice have been delivered. The FDD specifies that email notices are deemed delivered when sent, while physical notices are considered delivered upon actual receipt, the next business day after sending via overnight carrier, or three business days after sending via registered or certified mail.

This policy has significant implications for compliance and deadlines. For example, if a franchisee has a 30-day cure period to address a breach of contract after receiving notice, that period only begins once both the email and physical notice have been delivered. Franchisees must therefore monitor both their email and physical mail to ensure they are aware of any critical communications from Cicis and can respond accordingly within the required timeframes. This dual notification requirement is more stringent than some franchise systems, which may rely solely on one method of communication.
